General terms and conditions of use of website

1. Use of our site
1.1 Your use of this website is subject to these terms and conditions ("these Conditions").

By using this site you are agreeing to be bound by these Conditions and our Privacy Policy. If you do not agree to these Conditions, do not use this Site. In addition, if you purchase any of our goods or services, then that purchase is governed by our Terms of Business see paragraph 4 below). Please read these; they are important.

2. Intellectual property rights
2.1 Except where otherwise indicated, the Material on this website is protected by copyright, database rights and other intellectual property rights that belong to Creating Insight Limited. All rights in the content and design of the website are reserved.

2.2 Notwithstanding the above, you may read, print and download material from the website - other than third-party material - free of charge, provided it is: · for your private use or for use in the ordinary course of your business; · reproduced accurately; · not used in a misleading context; and, · the source of the material is identified and the copyright status acknowledged.

2.3 However, you may not republish, disseminate or transmit any of that material, or exploit it for commercial purposes, make any derivative work, or copy it for any other purpose without first obtaining our written permission, or that of the rights owner. 2.4 Many of the brand names mentioned on this site are registered trade marks belonging to our test providers; a full list of these is available.

2.5 If you wish to use CPI®, Strongs® and MBTI® logos directly on your website, you will require prior consent from the U.S. trade mark owner. For the 16PF® logo you will need to contact our UK partners OPP Limited for their consent.

3. Data protection and privacy
3.1 Creating Insight Limited wants to protect the privacy of visitors to our website and that of our customers. Please read our Privacy Policy it will help you to understand how we use your personal data. We may change our privacy policy at any time without giving you notice, so please check it regularly.

3.2 Whenever you give us personal data, you are consenting to its collection and use in accordance with our Privacy Policy.

4. Purchase of goods and Services
4.1 Our Terms of Business apply whenever you wish to order goods or services from us.

4.2 In the event of any conflict or inconsistency between these Conditions and our Terms of Business, our Terms of Business will prevail but only to the extent necessary to resolve that conflict or inconsistency.

5. Third party goods and services and links
5.1 If you purchase goods or services from third parties, even if you have been directed from our site to them, any contract you enter into with those third parties and any use you make of their website is a matter between you and them. Creating Insight Limited has no liability for the quality or type of services or goods provided by any third party we may mention on our site or to whom our site is linked. It is for you to make your own judgment about them.

5.2 Any information, offer or service made available by any third party on this site, or on any site to which this site is linked, is that of the author or provider, and not of Creating Insight Limited. We do not necessarily endorse, and we are not responsible for, the accuracy or reliability of, any such information, offer or service.

We have no control over their content or availability. 7. Our liability
7.1 Where you have purchased goods or services, our liability is governed by our Terms of Business.

7.2 We have no liability for the inability of anyone to access our site or any information, material or service on it, and we do not warrant that our site will operate without interruption.

7.3 We do not exclude or limit our liability for death or personal injury caused by our negligence or for any fraud on our part, or for any liability which cannot be excluded by law.

7.4 Subject to Condition 7.3, we will not be liable for any indirect or consequential loss, or for any loss of business, profit, revenue, goodwill or data, lost or wasted management time or the lost time of other employees arising from your use of our site or information on it (whether direct or indirect).

7.5 Except as expressly set out in our Terms of Business (which applies only in relation to any purchased goods or services) we exclude to the fullest extent permitted by law all warranties, representations, terms, conditions and undertakings, whether implied by statute, common law, custom, trade usage, course of dealing or otherwise (including any implied warranty, representation, term, condition or undertaking of satisfactory quality or fitness for a particular purpose).

7.6 The information on this site is not intended to address your particular requirements; it does not constitute any form of advice or recommendation by Creating Insight Limited and is not intended to be relied upon by you in making (or refraining from making) any decisions. 8. General
8.1 No delay, neglect or forbearance on the part of Creating Insight Limited in enforcing any of these Conditions will be or be deemed to be a waiver or in any way prejudice any right of Creating Insight Limited.

8.2 If any of these Conditions is, for any reason, held to be unenforceable, illegal or otherwise invalid in any way, the unenforceable, illegal or invalid provision will not affect any other Condition and those Conditions will continue in full force and effect.

8.3 These Conditions are governed by English law and you agree you will only sue us in the courts of England. The place of performance of the contract will be England.

8.4 No addition to or modification of any provision of these Conditions will be binding on Creating Insight Limited unless made in writing and signed by its duly authorised representative.

Terms of Business for Purchase of Product

1. Definitions
1.1 In these terms and conditions, the following shall have the following meanings:

Client” means any person or organisation purchasing Creating Insight Limited products and services;

Industry Ethics” means the Creating Insight Limited Guidelines for Ethical Use of Tests and Questionnaires, a current copy of which is viewable at www.ceatinginsight.com

Materials” means test, assessment and training materials, including Restricted Materials, whether printed materials or recorded on any other medium (such as video, DVD, CD-ROM or other software program);

OPP Group” means IPAT Inc., OPP Denmark ApS and OPP Limited, and any other companies bought or set up by either IPAT Inc or OPP Limited in the future;

“CPP Inc’ means supplier of psychometric instruments to Creating Insight Limited and are based in the USA, formally known as Californian Psychological Press.

Trademarks” means all the registered and unregistered trademarks used by Creating Insight Limited in the course of business.

1.2 The headings in these terms and conditions are for convenience, and do not affect their interpretation.

1.3 These terms and conditions override any earlier conditions appearing in the Creating Insight Limited website or elsewhere.

2. Changes to products, services and prices
Prices and specifications of Materials and services are correct at the time of publication in Creating Insight Limited’s current website or other relevant literature, but are subject to change without notice. Materials and services may also be withdrawn without notice.


3. Supply of product
Where the Client’s business is based outside Europe, please note that Creating Insight Limited use European and United States norm groups in our tests and assessment reports. Clients from outside Europe should contact us initially to discuss their needs prior to making a purchase.

4. Use of the Materials
4.1 Purchases of Materials must be made by or on behalf of an identified User.

4.2 Materials must be used in compliance with the Industry Ethics. These Guidelines may be changed from time to time to reflect the most recently accepted practices. Creating Insight Limited reserves the right to refuse to supply Restricted Materials if a Client fails to comply with the Guidelines of best practice in use of psychometrics and coaching.

5. Ordering
5.1 Any order placed by the Client will be deemed to be an offer by the Client to purchase the Materials subject to these terms and conditions.

5.2 No order placed by the Client will be deemed accepted by Creating Insight Limited until:

  • The client provides the names of all users and their respective contact details including email addresses and geographic locations
  • Payment is received in full; unless Creating Insight Limited are undertaking a Consultancy Project in which case Creating Insight Limited’s Terms of Engagement will apply.
  • The delivery of assessment materials to the Client Please be aware that orders may be refused if the delivery email address is not that relating to a User and if the delivery location for face to face interpretation sessions falls outside the East Midlands (UK) as per the product / service criteria, unless otherwise agreed with Creating Insight Limited.

5.3 When a service or a product is purchased Creating Insight Limited will make contact with the client to fulfil the requirements of their order. If the client fails to respond on more than 3 occasions to arrange suitable feedback/coaching sessions then Creating Insight Limited will consider the order fulfilled and no more attempts will be made.

5.4 All purchases that require feedback and/or coaching sessions must be completed within the agreed timeframe. If they are not completed within the agreed time frame then the client may incur the full cost. Please see Terms & Conditions of Consultancy Services.

5.5 Cancellation of or failure to attend an agreed event, appointment or other previously agreed session required as part of a programme or order are subject to Creating Insight Limited cancellation charges please see Terms of Consultancy for notice periods and charge rates that are applicable.

6. Dispatch of orders
Subject to availability, Creating Insight Limited normally dispatches standard (non-personalised) Materials within 24 hours of receipt of any order that Creating Insight Limited accepts.

For all client reports (personalised) Creating Insight Limited endeavour to dispatch these within 48 hours of the client completing an online assessment. Exceptions are for all programme(s) and or face to face interpretation sessions, when client reports will be handed over to the client by one of our consultants.

7. Value Added Tax
7.1 The following is Creating Insight Limited’s best interpretation of the current law governing VAT on our services and Materials, but we reserve the right to correctly apply VAT should this interpretation prove incorrect or be superseded;

  • For sales both within the UK and outside the UK, Creating Insight Limited charges VAT at the standard UK rate (currently 15%) to the cost of all products or services that are not zero-rated.

8. Payment
8.1 All orders must be paid for in full prior to dispatch using the online payment system. This system will process credit and debit cards only. Exceptions to this are during consultancy projects were Creating Insight Limited’s Terms of Engagement will apply.

8.2 Creating Insight Limited will only accept payment in pounds sterling (£) unless otherwise stated.

9. Claims
9.1 All claims should be made in writing to Creating Insight Limited, quoting the invoice and customer account numbers: within three days of receipt of Materials in respect of damage or discrepancies between Materials ordered and Materials received by email.

9.2 Creating Insight Limited’s liability for non-delivery, incorrect delivery, or delivery of defective Materials will be limited, at Creating Insight Limited’s option, to either replace the Materials free of charge or to a refund the price of such Materials together with the price paid.

10. Return for refund or credit
10.1 Creating Insight Limited will not accept any cancellations or returns of a placed order once the client has completed our online assessments.

10.2 To cancel an order or part of an order the client must contact Creating Insight Limited and give the reason for the cancellations prior to completing any online assessments relating to an order.

11. Intellectual property
11.1 All Creating Insight Limited’s products are protected by intellectual property rights (including trademarks, copyright, patents and design rights) and rights of confidence. Reproduction of these products in whole or in part, in any form, or their storage in a database or retrieval system, by any process, is prohibited except where expressly permitted by law or by licence.

11.2 The Client shall not reproduce, copy, vary or adapt the Materials by any means or in any way whatsoever, or enter or convert the same into any kind of information storage or retrieval system, including but not limited to any form of electronic or computer system.

11.3 Creating Insight Limited is bound by our permission agreements with our test suppliers to take prompt legal action against anyone who infringes Creating Insight Limited’s copyrights or its authors’ copyrights.

11.4 Copyright infringement of Restricted Materials damages the professional standards and credibility of the instruments themselves and the individuals who are using them. Also, loss of revenue ultimately means that fewer resources can be devoted to the continued development of the instruments. Creating Insight Limited urges all OPP & CPP test users to cooperate by ensuring that no copyright infringements occur within their own organisation.

11.5 The Client acknowledges that the Trademarks are the property of Creating Insight Limited, Creating Insight Limited’s licensors, and that use of the Trademarks by the Client will at all times be in keeping with these Terms of Business, and the Client will seek to maintain their distinctiveness and reputation.

11.6 The Client shall not use any mark or name confusingly similar to the Trademarks in respect of goods similar to the Materials.

12. Liability
Creating Insight Limited’s liability arising under or as a result of the provision or use of the Materials, whether in contract, tort, breach of statutory duty or otherwise, will not exceed the price paid by the Client for such Materials and their delivery.

Nothing in these terms and conditions will exclude or limit Creating Insight Limited’s liability for death or personal injury, or for any fraud on Creating Insight Limited’s part, or for any liability that cannot be excluded by law. Subject to the foregoing sentence Creating Insight Limited will not be liable for any indirect or consequential loss, loss of business, profit, revenue, data or goodwill, or for lost or wasted management time or the lost time of other employees arising from the Client's use of the Materials (whether direct or indirect).

13. Exclusions
Any condition, representation or warranty that might otherwise be implied or incorporated within these terms and conditions by reason of statute or common law or otherwise is hereby expressly excluded to the fullest extent permitted by law.

14. Variation
14.1 Creating Insight Limited will only supply the Materials in accordance with these conditions, to the exclusion of all other terms and conditions, including any that the Client attempts to apply under any purchase order, confirmation of order or any other document.

14.2 No variation of these terms and conditions shall be effective unless in writing and signed on behalf of Creating Insight Limited by one of its directors.

15. Governing law and jurisdiction
These terms and conditions are governed by English law and are subject to the exclusive jurisdiction of the English courts. The place of performance of the contract will be England.

Terms of Business for Consultancy Services

1. Definitions
1.1 Business Day” means a day (not being a Saturday or Sunday) on which banks are open for general banking business in the City of London;
Client” means the organisation contracting with Creating Insight Limited for the provision of consultancy services as identified in the Terms of Engagement;
Contract” means the contract formed by the acceptance and return by the Client of the Terms of Engagement, and such contract shall be governed by these Creating Insight Limited Terms and the Terms of Engagement;
Deliverables” means those items identified as such in the Terms of Engagement (if any) to be provided by Creating Insight Limited to the Client in the course of delivering the Services;
Creating Insight Limited Terms” means these standard terms of business;
Services” means the work to be undertaken by Creating Insight Limited for the Client as described in the Terms of Engagement;
Terms of Engagement” means the statement provided to the Client by Creating Insight Limited, incorporating these Creating Insight Limited Terms, which outlines the nature of the Services, the deliverables to be provided, the fees payable and the timeframe for completion of the Services;
Working Days” means Monday to Friday excluding bank or public holidays.

2. The Services
2.1 Creating Insight Limited will provide the Services to the Client on, and subject to, the Creating Insight Limited’s Terms and the Terms of Engagement. Creating Insight Limited will not start providing the Services until Creating Insight Limited has received written acceptance of the Terms of Engagement by an authorised representative of the Client.

By accepting the Terms of Engagement, the Client also agrees to be bound by these Creating Insight Limited Terms to the exclusion of all other terms and conditions (including any terms or conditions which the Client purports to apply under any purchase order, confirmation of order, specification or other document).

The Terms of Engagement, once signed and returned by the Client, shall, together with these Creating Insight Limited Terms, form the contract between Creating Insight Limited and the Client.

2.2 In accepting the Terms of Engagement, the Client authorises Creating Insight Limited to proceed with all relevant preparations for providing the Services, including but not limited to purchase of materials and booking venues (if required).

2.3 Creating Insight Limited shall provide the Services using reasonable skill and care.

2.4 In providing the Services, Creating Insight Limited shall use its reasonable endeavours to give sound advice based on the information available, but the Client will remain wholly responsible for determining matters of policy or action related to that advice.

2.5 The Client acknowledges and agrees that, in order for its personnel to derive benefits from the Services, such personnel will be required to make such commitment as is appropriate to the Services being provided.

3. Terms of Engagement and fees
3.1 The Terms of Engagement will, unless otherwise stated, remain capable of acceptance by the Client for a period of 90 days from the date thereof. The rates for fees and materials are subject to review from time to time, but Creating Insight Limited will give one month’s notice of its intention to change the charging basis for current and continuing projects.

3.2 The fees set out in the Terms of Engagement are based on Creating Insight Limited’s understanding of the Client’s requirements as set out in the Terms of Engagement. Creating Insight Limited reserves the right to make additional charges for:

  • Staff time spent in excess of those estimated in the Terms of Engagement as a result of any delays caused in delivery of the Services due to any act or omission of the Client;
  • Staff time spent travelling to the venue in excess of two hours in either direction;
  • Staff time for planning or other meetings requested by the Client in addition to those allowed for in the Terms of Engagement;
  • Any services or materials requested in writing by the Client that Creating Insight Limited agrees in writing to provide and that are additional to those allowed for in the Terms of Engagement, which shall then become part of the Services.

3.3 Creating Insight Limited may also charge the Client for reasonable expenses incurred by Creating Insight Limited in the provision of the Services including, where necessary:

  • All bought-in goods, services and sub-contracted items referred to in the Terms of Engagement as being necessary and charged for separately from the fees quoted in the Terms of Engagement.

  • Travel, accomodation and subsistance

3.4 Value Added Tax, where applicable, will be payable by the Client on all fees and expenses at the rate in force at the date of invoicing. All prices are quoted exclusive of Value Added Tax.

3.5 Creating Insight Limited will issue invoices in accordance with the terms stated in the Terms of Engagement. Depending on the nature of the work, Creating Insight Limited may issue invoices at the end of each discrete piece of work or at the end of each month. If the Client delays planned progress on provision of the Services, Creating Insight Limited reserves the right to submit interim invoices. Creating Insight Limited will also submit invoices in respect of any additional work carried out as referred to in Clause 3.2.

3.6 All invoices will be paid by the Client within 30 days of date of invoice. Creating insight Limited reserves the right to charge the Client interest and costs of recovery in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (as amended).

4. Cancellation and postponement
4.1 Unless otherwise specified in the Terms of Engagement, Creating Insight Limited reserves the right to charge for events (including but not limited to programmes, assessments, presentations or seminars) cancelled or postponed by the Client. Such charges will be in accordance with the following schedule (percentages refer to percent of fees relating to the relevant event) to be paid as a cancellation or postponement charge:

4.2 In addition, the Client will bear the full cost of any fees or expenses incurred by Creating Insight Limited for cancellation of venues and, except in cases where the Client has paid a 100% cancellation or postponement charge, for non-returnable goods and services bought or contracted for the event or events.

4.3 Where an event is postponed, the Client will be liable for the full fee for that event quoted in the Terms of Engagement when eventually held, in addition to the postponement charge set out in clause 4.1.

4.4 When an online assessment is purchased Creating Insight Limited will make contact with the client to fulfil the requirements of their order. If the client fails to respond on more than 3 occasions to arrange suitable feedback/coaching sessions then Creating Insight Limited will consider the order fulfilled and no more attempts will be made.

5. Copyright
5.1 Other than in respect of information that the Client has supplied to Creating insight Limited, Creating Insight Limited shall, as between Creating Insight Limited and the Client, own all copyright and any other intellectual property rights throughout the world subsisting in the contents of the Terms of Engagement and in all work produced by Creating Insight Limited in the course of provision of the Services in whatever form or media (including, without limitation, the Deliverables) (“Work”) unless otherwise indicated in the Terms of Engagement as “Client Materials”.

5.2 If the Client requires Creating Insight Limited to incorporate any material into the Work and supplies Creating Insight Limited with such material, the Client warrants that:

  • the proposed use or incorporation of such material will not infringe any third party’s intellectual property rights;
  • where the Client is not the owner of all copyright or other intellectual property rights in such material, the Client has received all necessary consents and licences for the proposed use by Creating Insight Limited of such material;
  • and the Client will indemnify and keep Creating Insight Limited fully and effectively indemnified against all costs, claims, demands, expenses and liabilities of any nature arising out of or in connection with any breach of the warranty in this clause.

5.3 Subject to Clause 5.4, the Client agrees that it shall not copy or amend the Work or do or authorise any other act that may infringe or devalue Creating Insight Limited’s copyright or other intellectual property rights.

5.4 The Client may, subject to the last sentence of this clause, make a reasonable amount of copies of the Work (or part of the Work) for distribution to its own personnel and strictly for internal business purposes only. The Client shall ensure that each such copy of the Work (or part thereof) shall bear a statement acknowledging its source. The Client shall have no right to make any copies of any Deliverables on which Creating Insight Limited does not own the copyright.

6. Sub-contractors
6.1 Creating Insight Limited shall be entitled, in its absolute discretion, to appoint sub-contractors to provide all or part of the Services.

6.2 If the Client nominates sub-contractors to work with Creating Insight Limited in the provision of the Services, the Client shall be responsible for such nominated sub-contractors. Creating Insight Limited reserves the right to withdraw co-operation from any nominated sub-contractors if the performance or actions of such persons or organisations prevents Creating Insight Limited fulfilling its obligations under the Terms of Engagement and these Creating Insight Limited Terms.

7. Client’s obligations
7.1 The Client will ensure that its staff, contractors and other suppliers co-operate fully with Creating Insight Limited and cause no delay.

7.2 Whilst Creating Insight Limited’s employees or sub-contractors are working on the Client’s premises, the Client will ensure the health and safety of those people. The Client will indemnify Creating Insight Limited and keep Creating Insight Limited indemnified against all losses, damages and expenses incurred or suffered by Creating Insight Limited in connection with any and all claims made in respect of any injury, death or loss suffered by those employees or sub-contractors as a result of working at the Client’s premises.

7.3 Clients will not, either during the provision of the Services or thereafter for a period of one year, directly or indirectly, offer employment or assignments to any of Creating Insight Limited’s employees or sub-contractors or solicit or procure their employment by any other company, organisation or individual with which the Client is connected.

8. Confidentiality and data protection
8.1 Both during and after the provision of the Services, both parties shall keep confidential any information of the other party that is obtained in connection with the provision of the Services and that is clearly designated as ‘confidential’ or that is by its nature clearly confidential. Neither party shall use such information except in connection with the Services nor divulge it to any third party without the prior written permission of the other party.

8.2 The provisions of this clause 8 shall not apply to any information disclosed by a party (“Disclosing Party”) that:

  • is in, or comes into, the public domain (except as a result of a breach of these Creating Insight Limited Terms);
  • was already in the possession of the Disclosing Party at the time of its receipt from the other party;
  • is received by the Disclosing Party from a third party who was not under a legal obligation of confidentiality with respect to it;
  • is required by law to be disclosed by the Disclosing Party.

8.3 The Client and Creating Insight Limited shall observe the requirements of the Data Protection Act 1998 (the “DPA”) and any other applicable data privacy legislation in relation to information regarding identifiable living individuals (“Personal Data”).

8.4 Where Creating Insight Limited discloses to the Client any Personal Data (including but not limited to psychometric test results, written reports, information derived from one-to-one counselling sessions, feedback or follow-up sessions, or personal development sessions), the Client acknowledges that, for the purposes of the DPA, it is the “Data Controller” in relation to those Personal Data and the Client will

  • not keep such Personal Data longer than is necessary to fulfil the purpose for which it was collected;
  • take all reasonable steps to safeguard the security of such Personal Data;
  • exercise discretion over the access given to such Personal Data within the Client organisation;
  • take all reasonable steps to ensure that those given access to such Personal Data understand and respect the need for confidentiality regarding the Personal Data;
  • and the Client shall indemnify and keep Creating Insight Limited fully indemnified against all costs, claims, demands, expenses and liabilities of any nature arising out of or in connection with any breach of this clause 8.

8.5 The Terms of Engagement shall be treated as confidential information for the purposes of this clause 8.

9. Term and termination
9.1 The Contract will commence on the date that Creating Insight Limited receives the signed Terms of Engagement from the Client and shall continue in full force and effect until the Services have been completed, subject to earlier termination pursuant to Clauses 9.2 and 9.3.

9.2 Either party may terminate provision of the Services immediately by notice in writing to the breaching party if the breaching party:

  • is in irremediable breach of its obligations or, in the case of a remediable breach, such breach has not been remedied within 14 days of receipt by the breaching party of a notice from the other party specifying the breach and requiring its remedy; or
  • enters into voluntary or compulsory liquidation, or compounds with or convenes a meeting of its creditors, or has a receiver or manager or an administrator appointed over any part of its assets, or ceases for any reason to carry on business, or takes or suffers any analogous action which in the opinion of Creating Insight Limited means that the Client may not be able to pay its debts.

9.3 Creating Insight Limited may terminate provision of the Services at any time if:

  • it has given the Client three months’ notice in writing; or
  • the Client attempts substantially to alter the scope or definition of the Services without Creating Insight Limited’s prior written agreement.

9.4 On termination, Creating Insight Limited will be entitled to be paid all fees and expenses incurred or accrued and payable by the Client as at the date of termination or cancellation of the Services. In the case of termination by Creating Insight Limited pursuant to Clause 9.2, the Client will be deemed to have cancelled the Services and will be liable to pay a cancellation charge as specified in Clause 4.1, if applicable.

9.5 On termination, each party shall immediately return to the other party all property of the other party in its custody, possession or control.

9.6 Clauses 1, 4, 5, 7.3, 8, 9, 10, and 14 shall survive expiry or termination of this Agreement howsoever caused and shall remain thereafter in full force and effect after termination.

10. Warranty and liability
10.1 In the event of damage to tangible physical property, where it is established that such damage to property has arisen as a direct result of the negligence of Creating Insight Limited’s employees or sub-contractors while providing the Services, Creating Insight Limited’s liability shall be limited to a maximum of £1,000,000 (one million pounds) per claim or series of related claims.

10.2 Nothing in these Creating insight Limited Terms shall exclude or limit Creating Insight Limited’s liability for death or personal injury caused by Creating insight Limited’s negligence, nor for fraud on Creating Insight Limited’s part, nor for any liability that cannot be excluded by law.

10.3 Subject to Clauses 10.1, 10.2 and 10.4, Creating Insight Limited’s liability arising under or as a result of the provision of the Services whether in contract, tort, breach of statutory duty or otherwise is limited to the fees actually paid by the Client to Creating Insight Limited for such Services.

10.4 Creating Insight Limited will not be liable for any indirect or consequential loss, loss of business, profit, revenue, data or goodwill, nor for lost or wasted management time or employee time of the Client.

10.5 Any condition, representation or warranty that might otherwise be implied or incorporated within these Terms by reason of statute or common law or otherwise is hereby expressly excluded.

11. Force majeure
Creating Insight Limited has no liability to the Client if Creating Insight Limited is unable to provide all or a part of the Services in accordance with the Terms of Engagement or otherwise as a result of circumstances beyond Creating Insight Limited’s reasonable control, including without limitation, war, strike, lockout, industrial disputes, riot, civil commotion, acts of Government, fire, blockade, accident, natural catastrophe, disaster.

12. Waiver
No delay, neglect or forbearance by either party in enforcing any provision of the Terms of Engagement or these Creating Insight Limited Terms shall be deemed to be a waiver or in any way prejudice any rights of that party.

13. Rights of third parties
Nothing in these Creating Insight Limited Terms or the Terms of Engagement confers or purports to confer on any third party any right to enforce any of the Terms of Engagement or these Creating insight Limited Terms.

14. Governing law and jurisdiction
These Terms and the Terms of Engagement are governed by and construed in accordance with the laws of England, and are subject to the exclusive jurisdiction of the English courts.

15. Entire agreement
15.1 These Creating Insight Limited Terms together with the Terms of Engagement constitute the entire agreement between Creating Insight Limited and the Client in relation to the Services, and supersede all earlier communications. Each party acknowledges that it has not relied on any commitment, representation or warranty in entering into the Contract, other than those expressly set out in the Contract. No amendment or other variation to these Creating insight Limited Terms will be effective unless it is in writing, is dated and is signed by a duly authorised representative of Creating Insight Limited and the Client.

15.2 If there is any conflict between these Creating Insight Limited Terms and the Terms of Engagement, these Creating Insight Limited Terms will prevail.

16. Notices
16.1 Any notice permitted or required under these Creating Insight Limited Terms will be given in writing and shall be effectively served if delivered by hand or sent by first-class or airmail post to Creating Insight Limited at its usual address and, in the case of the Client, to the last known or usual address. Any notice personally delivered shall be deemed to have been received at the time of delivery. Any notice sent by post shall be deemed to have been delivered three Business Days after posting in the case of inter-UK communications or five Business Days otherwise.

16.2 In cases where the Terms of Engagement specify nominated representatives of the parties, all notices shall be addressed to such representatives.
